Article of Incorporation of San Antonio Horse Association, Inc.

We, the undersigned natural persons of the age of twenty-one (21) years or more, at least two of whom are citizens of the State of Texas, act as Incorporators of a corporation under the Texas Non-Profit Corporation Act, do hereby adopt the following articles of incorporation for such corporation:

I.
The name of the Corporation is the San Antonio Saddle Horse Association, Inc.

II.
The corporation is a non-profit corporation.

III.
The period of its duration is perpetual.

IV.
The purpose or purposes for which the corporation is organized are:

  1. To promote the education of the people of Texas in breeding, care, use, handling, and development of horses and horsemanship;
  2. To encourage good sportsmanship and proper conduct among horsemen and horsewomen and to foster good fellowship among all persons interested in saddle horses.
  3. To encourage proper and humane handling and care of horses and to prevent cruelty to animals;
  4. To assist and establish a horse show circuit in the State of Texas.

 

V.
The corporation shall not issue any capital stock but may issue certificates, or cards, or other instruments evidencing membership rights, or voting rights.

VI.
The street address of the initial registered office of the corporation is 126 Laburnum, San Antonio, Texas, and the name of its original registered agent at such address is Roy L. Martin.

VII.
The number of directors constituting the initial Board of Directors of the corporation is three (3), and the names and addresses of the persons who are to serve as the initial Directors are:

IX.
On dissolution of the corporation, its assets shall be distributed only to those organizations qualifying for tax exempt status as an educational or scientific organization under Section 501 ( c ) ( 3 ) of the Internal Revenue Code of 1954.  None of the assets upon dissolution shall in any event be distributed to any members of the corporation.

X.
The corporation shall not engage in the carrying on of propaganda, or shall in any way attempt to influence legislation, and it shall not participate in, or intervene in, any political campaign on behalf of any candidate for public office.
